Terms of Service

Last updated: 22 October 2026

These Terms of Service ("Terms") are an agreement between the organisation on whose behalf the Services are accessed or used ("Customer", "you") and (a) Lightbringer AB, reg. no. 559426-2213, Jagaregatan 4, 211 19 Malmö, Sweden ("Lightbringer AB"), unless (b) Lightbringer USA Inc., a Delaware corporation (file no. 10703785), 470 Ramona Street, Palo Alto, CA 94301, United States ("Lightbringer USA"), is expressly identified as the contracting entity at registration, at checkout or in the applicable Order Form. The entity so identified is "Lightbringer", "we" or "us". A US billing address alone does not change the contracting entity. The Services are provided for business and professional use only and are not offered to consumers. An individual who uses the Services in the course of their own trade, business or profession is Customer. By creating an account or using the Services, you accept these Terms on behalf of Customer and represent that you have authority to do so.

Lightbringer AB develops, owns and operates the Services. Lightbringer USA may resell access where it is the expressly identified contracting entity. Whichever entity is Lightbringer under these Terms, Lightbringer AB is the processor of personal data in Customer Content under the DPA, which Lightbringer AB offers to Customer directly, and references in Sections 5, 7 and 8 to the hosting, security and technical processing of Customer Content are to Lightbringer AB.

These Terms apply to every Customer using the platform, whether or not the Customer has a Paid Plan. A customer purchasing a paid plan from Lightbringer AB must also enter into a signed Master Service Agreement ("MSA") and Order Form identifying the paid services. An Order Form may cover platform or operational IP-management services only; an attorney engagement is required only where professional services are included or subsequently ordered. Where Attorney Partner Services are ordered, Customer must separately enter into the applicable Legal Services Agreement ("LSA") with the identified Attorney Partner and the relevant matter must be accepted by that provider. The MSA and Order Form prevail over these Terms only to the extent expressly inconsistent; the DPA has the precedence stated in DPA Section 11.1. The Lightbringer AB MSA does not govern a Lightbringer USA contract unless separately agreed by the correct parties.

If you do not agree to these Terms, do not access or use the Services.

1. The Services

1.1 "Services" means the cloud platform made available by Lightbringer for the capture, development, AI-assisted drafting, analysis and management of inventions, patent matters, trade secret records and intellectual property information, the facilitation of professional intellectual property services provided through it, any related analysis, reporting, monitoring and support, and any application programming interfaces, connectors and integrations made available by Lightbringer for accessing it, including the Lightbringer MCP connector. The Services are provided as they exist from time to time, and this definition applies to the Services as a whole irrespective of which features are enabled for, or used by, Customer. The Services exclude Attorney Partner Services.

1.2 "Customer Content" means the invention disclosures, technical descriptions, drawings, draft patent and other intellectual property documents, trade secret records, trade mark and design materials, prior-art materials, instructions, communications and other content Customer or its Authorised Users submit to or generate through the Services. Customer Content is Customer's confidential information.

1.3 "Authorised User" means an individual whom Customer permits to use the Services under Customer's account, including under any agreement between Customer and Lightbringer.

1.4 "Attorney Partner" means, for professional services offered to customers contracting with Lightbringer AB, PatIO AB (reg. no. 559184-0714), or another qualified professional practice expressly identified to Customer in the engagement or Order Form or notified to Customer under Section 16.2. For Lightbringer USA customers, Attorney Partner means an appropriately authorised independent US practitioner or professional firm only if and when such provider is identified and has accepted the engagement. Identification of a prospective provider does not by itself create a professional-services engagement. A replacement provider does not assume an existing matter without the required engagement, conflict checks and transfer arrangements.

1.5 "Attorney Partner Services" means professional intellectual-property drafting, filing, prosecution, professional docketing or advice expressly accepted by an identified Attorney Partner under an applicable LSA or other professional engagement. Automated novelty assessments, AI-generated drafts and patent landscapes provided through the platform are not professional opinions merely because a customer has a paid plan.

1.6 "LSA" means the Legal Services Agreement or other engagement terms between Customer and the Attorney Partner.

1.7 "Connected AI Agent" means a third-party AI assistant or other client application that Customer or its Authorised Users connect to the Services through the Lightbringer MCP connector or any equivalent interface.

1.8 "Affiliate" means an entity that directly or indirectly controls, is controlled by, or is under common control with a party, where control means ownership of more than fifty per cent (50%) of the voting equity, for so long as such control exists.

1.9 The Services exclude Attorney Partner Services (Section 6) and any product or service provided by a third party, including a Connected AI Agent (Section 7.2), even where Customer has connected it to the Services.

2. Licence

2.1 Subject to these Terms, Lightbringer grants Customer a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Services for Customer's internal business purposes during the term of these Terms.

2.2 Customer grants Lightbringer a non-exclusive licence to host, process and transmit Customer Content solely to provide the Services to Customer, as further set out in Sections 5, 6 and 7 and the DPA.

3. Accounts and Authorised Users

3.1 Customer must create an account and provide accurate and current registration, contact and, where applicable, billing information, and keep it up to date.

3.2 Customer may permit its employees and the consultants and contractors engaged by it to use the Services under its account as Authorised Users, and may assign them roles within the Services. Customer is responsible for all use of the Services under its account, for its Authorised Users' compliance with these Terms, and for the confidentiality of credentials. Accounts and credentials may not be shared. Customer shall notify Lightbringer promptly of any unauthorised access.

3.3 Customer is responsible for the accuracy of inventor, applicant and contact details it enters, and for having the right to submit any third-party material it uploads. Customer's responsibility for the personal data it submits is set out in DPA Section 2.1.

4. Fees

4.1 Platform access and paid services. Customer may access the Services without a Paid Plan, purchase Credits for eligible chargeable functions, or receive paid services under a signed MSA and Order Form. The MSA and Order Form govern the fees, scope and duration of Paid Plans. Credit pack prices and quantities are shown at checkout, while Credit usage, expiry and related rights are governed by the Credit Purchase Terms. Neither use of the platform nor purchase of Credits creates a professional engagement with an Attorney Partner.

4.2 Credits. Certain features of the Services may consume Credits allocated to Customer's organisation account. Credits may be purchased, granted without charge or included as part of a Paid Plan. Their use, expiry, corrections and refunds are governed by the Credit Purchase Terms https://lightbringer.com/about/legal/credit-purchase-terms. Credits are separate from professional-service allowances and cannot be used to pay Attorney Partner fees, official filing fees or professional disbursements. For Customers with a Paid Plan, the applicable MSA and Order Form determine which AI usage is included in the subscription fees. Included usage may be provided without Credit deductions or through an allocation of Credits included in the Paid Plan. Usage beyond the included entitlement may consume other available Credits in accordance with the Credit Purchase Terms and the applicable agreement. No Credits will be deducted retrospectively for usage that was provided without Credit deductions when performed.

4.3 Paid Plans. Paid Plans require a signed MSA and Order Form with the applicable Lightbringer contracting entity. These agreements govern fees, service entitlements, operational IP services, term and renewal, additional work and plan changes. A Paid Plan does not automatically establish a professional engagement with an Attorney Partner; such an engagement requires the separate LSA and acceptance described in Section 6. Ending a Paid Plan does not, by itself, close Customer's platform account.

4.4 Professional services. Where Customer engages an Attorney Partner, that provider is separately responsible for the professional scope it accepts under its LSA or engagement, including the relevant matter-specific instructions. For customers contracting with Lightbringer AB, this requires the applicable signed MSA and LSA. The signed Order Form or engagement identifies included professional work and the applicable authorised payment arrangements. Neither these Terms nor a platform purchase alone appoint an Attorney Partner, authorise particular filings or create a payment agency.

5. Customer Content and confidentiality

5.1 "Customer Content" is defined in Section 1.2 and is Customer's confidential information.

5.2 Lightbringer uses Customer Content only to provide the Services to Customer and protects it with at least the same degree of care as it applies to its own confidential information. Lightbringer AB, which hosts and processes Customer Content for all customers, owes Customer directly the obligations in the DPA provisions listed in DPA Section 3.2, whichever Lightbringer entity is the contracting entity. Those provisions apply to all Customer Content, whether or not it contains personal data.

5.3 Lightbringer may process identifiable data about the use of the Services in accordance with the privacy policy and applicable consent requirements. From that usage data, and not from Customer Content, it may derive aggregated and anonymised statistics that do not identify Customer or any individual, and use them to operate, secure and improve the Services.

5.4 Customer shall keep confidential any non-public information about the Services, including pricing not published on the website and any information derived from activities described in Section 10.2.

5.5 Trade secret records. Recording a trade secret in the Services creates a time-stamped record of the asset in Customer's account. It is not a registration with any authority, confers no right, and does not replace the measures Customer must take to keep the information secret. Trade secret records are Customer Content.

6. Attorney Partner Services

6.1 Nature of Lightbringer services. Lightbringer provides an intellectual-property services platform, including invention and trade-secret management, automated assessments, AI-generated documents, patent portfolio information, workflows and operational support. Such services do not themselves constitute regulated professional patent representation or legal opinions. Professional services, where offered, are separately undertaken by an identified Attorney Partner under an LSA and accepted matter-specific instructions. An automated novelty assessment or landscape report is not attorney-reviewed unless expressly agreed as such. This allocation does not exclude responsibility that cannot lawfully be excluded.

6.2 Optional professional engagement. Customers may use free or paid platform and operational services without engaging an Attorney Partner. A customer contracting with Lightbringer AB who later requests professional patent services may add an LSA with PatIO AB and an accepted Order Form amendment or service instruction without replacing its existing MSA. PatIO decides whether to accept each matter, subject to conflicts, competence and applicable professional duties. Future US professional services are available only where a properly authorised US provider is actually identified and separately engaged; the AB MSA and PatIO LSA do not govern that independent engagement.

6.3 Disclosure on instruction. Customer instructs Lightbringer AB to make relevant Customer Content available to an Attorney Partner only when Customer has instructed or engaged that provider as contemplated by DPA Section 2.5. Each professional engagement or matter instruction defines the deliverables, responsibility for deadlines and exclusions. No professional relationship arises solely through account creation, AI Credit purchases or use of automated workflows.

7. AI features and connectors

7.1 The Services use third-party pre-trained AI models to generate draft patent documents, non-attorney-reviewed novelty assessments, patent landscapes and suggestions. Such outputs may be incomplete or inaccurate and require appropriate review before reliance, filing or disclosure. They are not legal opinions. Where a professional review is offered and separately purchased, the specific service description and LSA determine whether the deliverable constitutes professional advice or an opinion.

7.2 Customer may connect a Connected AI Agent (Section 1.7) to the Services. An Authorised User with administrative rights must enable it. Access is scoped to a single organisation and may be disabled at any time. Actions initiated through a Connected AI Agent are subject to the same Credit charging rules and included usage entitlements as actions initiated directly through the Services. Where applicable, such actions may consume Credits in accordance with the Credit Purchase Terms. A Connected AI Agent may initiate actions within the permissions granted by Customer without requiring separate human confirmation for each action. Responsibility for Customer Content disclosed to a Connected AI Agent is allocated by Section 7 of the DPA, extended to all Customer Content by Section 5.2 of these Terms.

8. Data protection

8.1 The Data Processing Addendum at https://lightbringer.com/privacy/dpa (the "DPA") forms part of these Terms and governs Lightbringer's processing of personal data contained in Customer Content on Customer's behalf. Customer enters into the DPA by accepting these Terms. In the event of conflict between these Terms and the DPA, the DPA prevails.

8.2 Processing of personal data by Lightbringer AB and Lightbringer USA as controllers, including account, usage, billing, marketing and MCP connection data, is described in the privacy policy at https://lightbringer.com/about/legal/privacy-policy, which identifies the controller for each category. The privacy policy is a notice and does not form part of these Terms.

8.3 Customer's information and audit rights concerning the processing of personal data are governed by Section 9 of the DPA.

8.4 Where Customer objects under DPA Section 4.3 and Lightbringer AB cannot provide a reasonable alternative, Customer may terminate the affected platform Services or close its account in accordance with the DPA and these Terms. Refunds of unused prepaid Credits are governed by the Credit Purchase Terms. For Customers with a signed MSA, refunds of prepaid platform fees are governed by that MSA and the applicable Order Form. Termination does not automatically end an accepted Attorney Partner engagement or entitle Customer to a refund of professional services already performed or authorised third-party costs already incurred or irrevocably committed.

9. Intellectual property

9.1 Customer retains all intellectual property rights in Customer Content and in patent documents generated through the Services ("Patent Documents"). Lightbringer claims no rights in them other than the licence in Section 2.2.

9.2 Lightbringer and its licensors retain all rights in the Services, including software, models, prompts, templates, documentation and any improvements, and in aggregated and anonymised usage data.

9.3 Customer may provide suggestions or feedback about the Services. Lightbringer may use feedback without restriction or obligation, provided it does not thereby disclose Customer Content or identify Customer.

10. Acceptable use

10.1 Customer shall not, and shall ensure its Authorised Users do not: (a) use the Services in breach of law or of third-party rights; (b) resell, sublicense or provide access to the Services to third parties except Authorised Users and Connected AI Agents; (c) interfere with or gain unauthorised access to the Services or their infrastructure; (d) introduce malicious code; (e) use robots, scrapers or extraction tools against the Services; (f) use the Services to build or train a competing product; (g) use the Services, by or on behalf of a patent attorney firm, IP agent or other intellectual property service provider, to serve that provider's own clients, except under a written agreement with Lightbringer; or (h) submit content that is unlawful, defamatory or infringing.

10.2 Customer shall not reverse engineer, decompile, disassemble or attempt to derive the source code, prompts, techniques, algorithms or know-how of the Services except to the extent applicable law expressly permits, and any information so derived is Lightbringer's confidential information.

10.3 Export control and filing licences. Customer is responsible for determining, before submitting Customer Content, whether any law restricts its export, disclosure abroad or foreign patent filing, including export-control and sanctions laws and any requirement for a foreign filing licence or security review in the country where an invention was made, and for obtaining any licence or clearance required; Customer Content is processed and may be accessed in the locations stated on the sub-processor page and in the DPA. Customer shall not submit Customer Content that is subject to the US International Traffic in Arms Regulations, controlled under the US Export Administration Regulations other than as EAR99, listed in Annex I of Regulation (EU) 2021/821, or classified or restricted by any government, or that cannot lawfully be transferred to those locations, unless Lightbringer has agreed in writing in advance to receive it. Lightbringer may suspend processing of, restrict access to, quarantine or delete Customer Content that it reasonably believes breaches this Section, and will notify Customer when it does so unless the law prevents it. Lightbringer has no liability for any consequence of Customer's failure to comply with this Section or to obtain a required licence or clearance.

11. Warranties and disclaimer

11.1 Lightbringer warrants that it will provide the Services with reasonable skill and care and materially in accordance with its published documentation, and that Lightbringer AB applies to Customer Content the technical and organisational measures described in Exhibit C of the DPA. The Security Statement at https://lightbringer.com/security describes how those measures are currently implemented and is provided for information.

11.2 Except as stated in Section 11.1, the Services are provided as available and without other warranties, express or implied, to the fullest extent permitted by law. Lightbringer does not warrant that the Services will be uninterrupted or error-free, and gives no warranty as to the quality or suitability of any AI-generated output (see Section 7.1) or as to the outcome of any patent application or other intellectual property filing.

11.3 Responsibility for separately engaged Attorney Partner Services is governed by the applicable LSA. Lightbringer does not assume that provider's independent professional obligations solely because services are included in an Order Form. Nothing in this Section limits Lightbringer's responsibility for its own platform obligations, conduct or liability that applicable law does not permit it to exclude.

12. Limitation of liability

12.1 To the extent permitted by law, neither party is liable to the other for indirect, incidental, special, consequential or punitive losses, or loss of profits, revenue, business or goodwill, whether arising in contract, tort or otherwise. This exclusion does not restrict amounts payable under Section 13, reasonable direct costs of restoring Customer Content lost or corrupted as a result of Lightbringer's breach of its contractual data-protection or security obligations, or liability preserved by Section 12.3.

12.2 Subject to Section 12.3 and any different liability limits expressly agreed in a signed MSA or Order Form, each party's total aggregate liability arising out of or in connection with these Terms and the platform Services, whether in contract, tort or otherwise, is limited to the fees actually paid by Customer to Lightbringer for platform Services and Purchased Credits during the twelve (12) months immediately preceding the first event giving rise to liability under these Terms. Purchased Credits count towards this amount when paid for, not again when used; Complimentary Credits and other Credits granted without charge do not count. Attorney Partner fees, official filing fees and professional disbursements do not count. This is a single aggregate cap for all claims and does not reset annually, multiply by the number of claims or provide an additional allowance for indemnification. Lightbringer's obligations under Section 13.2, including reasonable defence costs, settlements and damages, count towards this same cap. The cap does not apply to Customer's indemnification obligations under Section 13.1 or to Customer's liability arising from a breach of Section 10. It does not limit Customer's obligation to pay accrued fees and authorised third-party costs, or any liability preserved by Section 12.3. Liability of an Attorney Partner for accepted professional services is governed separately by the applicable LSA.

12.3 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, gross negligence, wilful misconduct or any other liability that cannot lawfully be excluded or limited. Nothing in this Section limits a Data Subject's rights or remedies, including under Clause 12 of the applicable Standard Contractual Clauses, or any liability that cannot be limited under applicable Data Protection Laws. As between the parties, liability under the DPA remains subject to Section 12.2 only to the extent permitted by the DPA (including Section 11.4), applicable Data Protection Laws and any applicable Standard Contractual Clauses.

13. Indemnification

13.1 Customer shall indemnify Lightbringer against third-party claims to the extent arising from Customer Content that infringes third-party rights or is unlawful, from Customer's or its Authorised Users' breach of Section 10 or of applicable law, or from any breach of Section 10.3 or of export-control, sanctions or foreign-filing-licence law arising from Customer Content, including penalties and costs incurred by Lightbringer to the extent recoverable under applicable law.

13.2 Lightbringer shall defend Customer against third-party claims that the platform Services as provided by Lightbringer and used in accordance with these Terms infringe or misappropriate third-party intellectual property rights, and pay damages finally awarded or settlements approved by Lightbringer. This obligation does not extend to claims arising from Customer Content, Customer's specifications, output generated by the Services, unauthorised modifications, combinations with third-party products where the Services alone would not infringe, or continued use after Lightbringer offers a reasonably suitable non-infringing alternative. If an infringement claim is likely, Lightbringer may secure continued use, modify the affected Services without materially reducing their core functionality, or, if neither is commercially reasonable, terminate the affected Services and refund unused prepaid platform fees for the terminated period. The obligations under this Section 13.2 apply only to third-party claims arising from Customer's authorised use of the platform Services during a Paid Plan governed by a signed MSA and Order Form, regardless of when the claim is brought. They do not apply to free-tier or Credit-only use. Lightbringer's obligations under this Section, including reasonable defence costs, settlement amounts and damages, are subject to the single aggregate liability cap in Section 12.2, not a separate or additional cap. Nothing in this Section affects mandatory legal remedies.

13.3 Procedure. The indemnified party shall notify the other promptly of a claim (delay relieves the indemnifying party only to the extent it is prejudiced), allow it sole control of the defence and settlement, and cooperate at the indemnifying party's expense; the indemnified party may participate at its own cost, and no settlement may admit fault on its behalf or impose obligations on it without its consent, not unreasonably withheld.

14. Term, suspension and termination

14.1 These Terms apply until the underlying account is closed or terminated under Section 14.2. The expiry, non-renewal or cancellation of a paid plan, the completion or cancellation of a professional engagement, exhaustion of Credits or non-payment does not itself close the platform account, although paid features or separately ordered services may end. The MSA and Order Form determine the consequences for paid entitlements; the LSA governs any professional withdrawal and handover.

14.2 Lightbringer may suspend affected features or, where reasonably necessary, account access for material breach, a security threat or overdue payment after applicable notice. An immediate, appropriately scoped suspension may be imposed for a serious security or unlawful-use risk. For remediable material breach, Lightbringer may terminate after thirty (30) days' notice and failure to cure; a serious prohibited use may justify immediate termination. Dormant account closure requires reasonable advance notice and an export opportunity, except where law or security requires otherwise.

14.3 Customer may request deletion and export of Customer Content in accordance with DPA Section 2.4, as extended to non-personal Customer Content by Section 5.2. Customer account closure does not require deletion of separate professional matter files retained by an Attorney Partner as independent controller under the LSA. Lightbringer will not delete those professional records merely because a paid platform plan ends. Sections 4 (as to fees accrued before termination), 5, 9, 10.2, 11, 12, 13, 15 and 18 survive termination.

14.4 Lightbringer may discontinue the platform Services or a material platform feature on at least ninety (90) days' notice, subject to applicable law and any stronger commitment in a signed MSA. For a terminated Paid Service, Lightbringer will refund prepaid recurring platform fees attributable to the affected, undelivered service period in accordance with the MSA and Order Form. Unused, unexpired Purchased Credits made unusable by discontinuation are treated under the Credit Purchase Terms. Customer may export affected Customer Content during the notice period and, on closure, during the export period in DPA Section 2.4(c). An Attorney Partner's duties for accepted matters remain governed by the LSA.

15. Governing law and disputes

15.1 These Terms and any dispute arising out of or in connection with them or the Services are governed by the laws of Sweden.

15.2 The parties shall first seek to resolve any dispute amicably. Failing that, disputes shall be finally settled by arbitration under the Arbitration Rules of the SCC Arbitration Institute, seated in Malmö, Sweden, in English. Either party may nonetheless seek interim relief from a competent court, and Lightbringer may bring claims for unpaid fees before the general courts or the Swedish Enforcement Authority.

16. Changes to these Terms

16.1 Lightbringer may amend these Terms. Material amendments take effect thirty (30) days after notice by email to Customer's account owner and publication on the website; other amendments take effect on publication. Customer may close its account before a material change takes effect. Refund rights for unused Purchased Credits follow the Credit Purchase Terms; signed MSA fees, fixed terms and professional engagements may be changed or terminated only under their own agreement provisions. Continued use after the effective date constitutes acceptance only to the extent permitted by applicable law.

16.2 Where the provider of future Attorney Partner Services changes, Lightbringer will give Customer notice through the Service, by email or through another durable agreed channel. A change does not transfer pending professional matters or replace an existing engagement without the steps required by the applicable LSA and professional obligations.

17. Force majeure

17.1 Neither party is liable for delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, including natural disaster, war, civil disturbance, pandemic, industrial action, governmental act, and failure of third-party infrastructure not caused by the affected party. The time for performance is extended accordingly.

18. General

18.1 Agreement structure. These Terms govern the platform for all Customers. The DPA is entered into directly between Customer and Lightbringer AB and has the priority stated in DPA Section 11.1. A signed MSA and Order Form govern ordered paid services and prevail where they expressly vary these Terms. The Credit Purchase Terms apply to Credits as incorporated into these Terms and are separately accepted on Credit purchase. The LSA governs only the professional relationship between Customer and the identified Attorney Partner and is not part of the Lightbringer platform agreement. The Privacy Policy is a privacy notice, not an additional service contract.

18.2 Assignment. Customer may not assign these Terms without Lightbringer's consent. Lightbringer may assign them to an affiliate or a successor in connection with a merger, acquisition or sale of assets, on notice to Customer, provided the successor assumes Lightbringer's obligations.

18.3 Severability; waiver. If any provision is held unenforceable it shall be modified to the minimum extent necessary and the remainder shall remain in effect. Failure to enforce a provision is not a waiver.

18.4 Notices. Notices to Lightbringer shall be sent to legal@lightbringer.com; data protection matters to privacy@lightbringer.com. Notices to Customer may be sent to the account owner's email address.

18.5 Relationship. The parties are independent contractors. Nothing in these Terms creates a partnership, agency or fiduciary relationship.
