Lightbringer Credit Purchase Terms
Last updated: 22 October 2026
These Credit Purchase Terms ("Credit Terms") govern one-time purchases and use of Credits for the Lightbringer Services by business and professional customers and supplement the Lightbringer Terms of Service ("ToS"). The selling Lightbringer entity is identified at checkout; if none is expressly identified, it is Lightbringer AB. "Customer" and other capitalised terms not defined here have their meanings in the ToS. By purchasing a Credit pack, Customer accepts these Credit Terms through its authorised purchaser. Complimentary Credits are governed by these Credit Terms to the extent incorporated into the ToS or otherwise accepted by Customer.
1. What Credits are
1.1 Credits are units used to access eligible chargeable functions of the Services. Purchased Credits are prepaid, while Complimentary Credits are granted free of charge. They are allocated to Customer's organisation account, not to an individual user. Credits are not money, a deposit or a right to cash. They cannot be used to pay Attorney Partner fees, patent-office fees or professional disbursements.
1.2 Credits may be purchased ("Purchased Credits") or granted free of charge, including for referrals, promotions or goodwill ("Complimentary Credits"). Each purchase or grant is recorded in a separate lot with its own amount, type and expiry. Complimentary Credits have no refundable purchase price.
1.3 Paid-plan entitlements. Credits are separate from service units and other allowances under a Paid Plan. Those entitlements are governed by the applicable MSA and Order Form and cannot be exchanged for Credits.
2. Which actions use Credits
2.1 Features using Credits. Certain features of the Services use third-party AI models or external data services and may consume Credits. Features that consume Credits are identified in the Services, including through a “Credits” label or other in-product indicators. Some features are available without Credit charges or are included in a Paid Plan.
2.2 Flat-rate patent-data actions. Certain patent-data transactions, such as eligible patent searches and new patent imports using third-party data providers, may consume a fixed number of Credits per completed transaction. Applicable Credit rates will be made available in the Services or through a published rate schedule before such features become chargeable. A completed search is chargeable even if it returns no matching results. No charge applies if the transaction fails to complete.
2.3 Metered AI usage. Eligible AI-powered features, including AI-assisted workflows and image generation, may consume Credits based on actual model or service usage, subject to any included usage entitlements or exemptions under Section 5. Credit charges are calculated using Lightbringer's applicable conversion methodology, based on third-party provider costs or usage-based estimates where those costs are unavailable. The methodology includes Lightbringer's commercial margin and does not represent reimbursement of third-party costs at cost. A metered action may involve multiple model or service calls. Successfully completed, chargeable calls remain subject to Credit deductions under Section 7.1 even if the overall action does not complete. The exact number of Credits consumed may not be known until processing ends. Charges are calculated using the methodology applicable when the action starts and rounded up to a whole Credit per chargeable usage event.
2.4 Authorised usage. Credits may be charged for eligible actions initiated by or on behalf of Customer's organisation, including through permitted integrations. Customer is responsible for actions initiated by its Authorised Users and connected applications in accordance with the ToS.
3. Buying Credit packs
3.1 Only an Authorised User with the organisation administrator role may purchase Credits for Customer. Credit packs are one-time purchases, not subscriptions. Any future automatic top-up requires Customer's separate express election under the stated terms of that feature.
3.2 Before payment, checkout identifies the selling Lightbringer entity, price, currency, number of Purchased Credits, expiry and applicable taxes. The pack quantity and price are those displayed at checkout.
3.3 Payment is processed by Stripe or the provider identified at checkout. Purchased Credits are allocated after successful payment confirmation. Lightbringer provides an invoice or receipt. VAT, sales tax or other taxes are treated in accordance with applicable law and checkout information.
3.4 Credits belong to the purchasing organisation account. They cannot be transferred to other organisations or accounts or resold. Customer is responsible for ensuring its purchasing administrator is authorised to make the purchase.
4. Expiration and order of use
4.1 Purchased Credits expire twelve (12) months after purchase, unless applicable law or an express refund or extension under these Credit Terms requires otherwise. Unused Credits do not automatically renew, extend or carry over.
4.2 Complimentary Credits expire on the date specified when granted. Different grants may have different expiry dates, which are communicated through the applicable grant notice or the Services.
4.3 Where usage consumes Credits, deductions are made first from any available Included Credits applicable to that usage, unless the applicable MSA or Order Form specifies otherwise. Any remaining chargeable usage draws from the unexpired Purchased or Complimentary Credit lot with the earliest expiry date. Where those lots expire on the same date, Complimentary Credits are used before Purchased Credits. Expired Credits cannot be used.
4.4 Customer can view its available Credit balance and expiry information in the Services. Records of Credit deductions and corrections are made available in the Services or supplied on request through support.
The end of a Paid Plan does not itself close Customer's account or change the expiry of Purchased Credits.
5. Included usage and exemptions
5.1 Paid Plan entitlements. A Paid Plan may include eligible AI usage without Credit deductions, an allocation of Credits included in the subscription fees ("Included Credits"), or another agreed usage entitlement. The applicable MSA and Order Form, including any expressly incorporated plan schedule, determine the entitlement.
5.2 Included Credits. Included Credits are provided as part of a Paid Plan and are separate from Purchased and Complimentary Credits. Where Included Credits apply, the applicable plan terms specify their amount or calculation method, allocation period, renewal, expiry, carry-over and order of consumption. Included Credits have no separate cash or refund value.
5.3 Additional usage and changes. Usage beyond the applicable Paid Plan entitlement may consume Purchased or Complimentary Credits in accordance with these Credit Terms. Changes to included usage entitlements are subject to the applicable MSA and Order Form. No Credits will be deducted retrospectively for usage that was not subject to Credit deductions when performed.
6. Low balances, in-progress actions and shortfalls
6.1 Where an action requires Credits and Customer has insufficient available Credits, the Services may prevent, limit or stop that action. A low or zero Credit balance does not restrict features provided without Credit deductions under the applicable Paid Plan or otherwise offered without charge. Where a Paid Plan includes an allocation of Credits, eligible usage may consume that allocation in accordance with Section 5. Once the applicable allocation is exhausted, additional chargeable usage may consume available Purchased or Complimentary Credits. If no applicable Credits remain, the Services may prevent or stop further chargeable usage.
6.2 For metered actions, the Services may reserve Credits, limit usage or stop an action when the balance is exhausted. Because charges are recorded after usage, a run may result in a limited negative Credit balance. That shortfall is deducted from the next Credits added to the same organisation account, whether Purchased or Complimentary, before those Credits become available for further use. A usage overrun alone does not oblige Customer to buy Credits or authorise a cash charge. This does not limit Lightbringer's right to recover an unpaid original purchase price under Section 9.1.
7. Failed actions and corrections
7.1 Fixed-price actions are charged only when the stated transaction or deliverable is completed. No fixed charge applies if it is not completed. A search that successfully completes without matching results is a completed transaction unless expressly stated otherwise.
Metered actions are charged for successfully completed, chargeable model or service calls made in carrying out an authorised action, including calls completed before the action fails, is cancelled or stops because a Credit balance or usage limit is reached.
Failed calls are not charged. A call is successfully completed only where it returns the response or result required for that call. A provider recording usage or returning a technical success status does not, by itself, establish successful completion.
A subsequent failure of the overall action does not reverse charges for earlier successful calls. Charges do not depend on Customer's satisfaction with the output or achievement of any particular commercial, technical or patent outcome.
Duplicate deductions, charges for failed calls, charges attributable solely to a verified Lightbringer technical malfunction or unintended retry loop, and other verified billing errors will be corrected under Sections 7.2–7.3. This does not limit remedies otherwise available under the applicable agreements or mandatory law.
7.2 Customer may contact support about an incorrect Credit deduction. Where an error is verified, Lightbringer will restore the affected Credits to their original lots or make an equivalent correction preserving their Purchased or Complimentary status and original expiry.
Where Lightbringer's error prevented Customer from using the affected Credits before expiry, Lightbringer will provide a reasonable extension limited to those Credits.
Corrections will be recorded, and details will be available in the Services or on request through support.
7.3 Lightbringer may grant Complimentary Credits and correct Credit balances affected by technical or administrative errors.
Corrections may include removing Credits allocated incorrectly, restoring incorrect deductions or recovering previously unrecorded charges for usage properly chargeable under Sections 2, 5, 6 and 7.1.
Previously unrecorded usage may be deducted only within ninety (90) days after the relevant usage occurred, using the Credit rates applicable when the usage started.
A manual correction will not itself reduce Customer's Credit balance below zero or authorise a separate cash charge. Corrections will be recorded, and details will be available in the Services or on request through support. Lightbringer will explain material corrections upon request.
Legitimately purchased Credits will not be removed arbitrarily, and usage included in an active Paid Plan will not be charged retrospectively.
8. No cash-out; cancellations and refunds
8.1 Except as expressly provided by these Credit Terms, the ToS or applicable law, Credit purchases are final and non-refundable. Credits cannot be withdrawn, exchanged for cash or paid out. Voluntarily stopping use or closing an account does not itself create a refund entitlement.
8.2 Where Lightbringer discontinues the Services or a material chargeable function, or Customer validly terminates affected Services or closes its account under ToS Sections 8.4, 14.4 or 16.1, Lightbringer will refund unused, unexpired Purchased Credits made unusable as a result. Where Customer validly closes its account under those provisions, all unused, unexpired Purchased Credits are refundable. Where reasonably comparable chargeable functions remain available, Credits may continue to be used instead of refunded, subject to the ToS and applicable law.
8.3 A refund for unused Purchased Credits is calculated pro rata using the actual price paid for the relevant pack, excluding taxes. Applicable taxes are adjusted through refund or credit-note documentation. Complimentary Credits and Credits already used or expired before the refund right arose are not refundable, except where law requires otherwise.
8.4 If an account is closed without a refund entitlement under these Credit Terms, the ToS or applicable law, remaining Credits are forfeited upon closure, subject to any mandatory rights and applicable ToS notice or export protections.
9. Payment reversals and disputes
9.1 If payment for a Credit pack is refunded, reversed or charged back, Lightbringer may remove the unused Purchased Credits attributable to the affected payment, including a proportional amount following a partial refund, and issue any required credit note. If a payment is charged back or reversed and Credits from that purchase have already been used, Lightbringer may recover the unpaid original purchase price, but not a separate fee for the usage, to the extent permitted by law and subject to Customer's legitimate dispute rights. Any recovery is limited to the amount of the original purchase price that remains unpaid after refunds, retained payments and other recoveries. No new charge to Customer's payment method is authorised by this clause alone.
9.2 If a payment dispute is resolved in Lightbringer's favour, Credits removed solely because of that dispute will be restored with their original expiry.
Where the removal prevented Customer from using affected Credits before expiry, Lightbringer will provide a reasonable extension limited to those Credits.
10. Changes to features and Credit rates
10.1 Lightbringer may prospectively change which features consume Credits, available models and technologies, usage measurement methods and Credit rates.
For fixed-price transactions, the applicable Credit charge is made accessible before initiation. For metered actions, the charging basis is made accessible before initiation, although the final charge may be unknown until processing ends.
Metered usage is calculated using the conversion methodology applicable when the action starts. Completed usage is not repriced retrospectively, and changes to Credit rates do not reduce Credits already allocated.
Eligible AI usage included in an active Paid Plan under Section 5.1 remains exempt from Credit deductions.
10.2 Routine future changes to Credit rates may be communicated through the Services. Changes to these Credit Terms, or material adverse changes to rules governing Purchased Credits, are subject to the notice and termination protections in ToS Section 16.1. Section 8.2 applies if a discontinued feature makes unexpired Purchased Credits unusable.
11. Relationship with other agreements
11.1 These Credit Terms govern the purchase and use of Credits. The ToS continues to govern the Services, including privacy and data protection, suspension, termination, liability and disputes. Attorney Partner Services require a separate professional engagement and are not purchased with Credits.
11.2 A signed MSA and Order Form govern included AI usage and other Paid Plan entitlements and prevail where they expressly provide different terms for Customer. These Credit Terms otherwise govern separately purchased Credits. Nothing limits mandatory legal rights or remedies expressly provided under the ToS.
11.3 Questions about purchases, charges or corrections may be directed to the support contact in the Services. Formal legal notices are given as specified in the ToS.
